Zero Deficit™ Critical Care Prep
Welcome to Zero Deficit™ Critical Care Prep ("Service"), operated by Zero Deficit LLC ("Company," "we," "our," or "us"). By accessing or using our mobile application or website, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Eligibility
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you:
- Are at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Are not prohibited from using the Service under any applicable law
- Will provide accurate and complete registration information
3. Account Registration
To access certain features, you must create an account. You agree to:

- Maintain and update your information to keep it accurate
- Keep your password confidential and secure
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms or for any reason at our sole discretion.
4. Subscriptions and Payments
4.1 Subscription Plans
We offer Free and Premium subscription tiers. Premium features require a paid subscription.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. Payment is processed through Stripe or the applicable app store. You authorize us to charge your payment method for all fees.
4.3 Automatic Renewal
Subscriptions automatically renew unless you cancel before the renewal date. You can cancel anytime through your account settings or by contacting support.
4.4 Refunds
Refund requests are handled on a case-by-case basis. Generally:
- Monthly subscriptions: Refunds within 7 days of purchase
- Annual subscriptions: Refunds within 14 days of purchase
- No refunds for partially used subscription periods
For iOS/Android in-app purchases, refunds are subject to Apple/Google policies.
4.5 Price Changes
We may change subscription prices with 30 days notice. Price changes will not affect your current subscription period.
5. Acceptable Use Policy
You agree NOT to:
- Share, resell, or redistribute your account access
- Copy, reproduce, or distribute our content without permission
- Reverse engineer, decompile, or disassemble the Service
- Use automated systems (bots, scrapers) to access the Service
- Circumvent any security measures or access controls
- Upload malicious code, viruses, or harmful content
- Impersonate others or misrepresent your identity
- Use the Service for any illegal purpose
- Interfere with the operation of the Service
- Violate any applicable laws or regulations
6. Intellectual Property
6.1 Our Content
All content, features, and functionality of the Service—including text, graphics, logos, icons, images, audio, video, software, and study materials—are owned by Zero Deficit LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial educational purposes only.
6.3 Restrictions
You may not reproduce, distribute, modify, create derivative works, publicly display, or otherwise use our content except as expressly permitted.
7. Disclaimers
7.1 Educational Purpose Only
The Service is intended as a study aid and educational resource. It is NOT a substitute for professional nursing education, clinical training, or official certification materials.
7.2 No Guarantee of Results
We do not guarantee that using the Service will result in passing the Critical Care exam or any other certification. Exam success depends on many factors beyond our control.
7.3 "As Is" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZERO DEFICIT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Zero Deficit LLC and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may cancel your account at any time through your account settings or by contacting support.
Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and indemnification.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
11.2 Arbitration Agreement
Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall be conducted in Delaware, and the arbitrator's decision shall be final and binding.
11.3 Class Action Waiver
You agree to resolve disputes only on an individual basis and waive any right to participate in class actions or class-wide arbitration.
12. General Provisions
- Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and Zero Deficit LLC.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign these Terms. We may assign our rights and obligations without restriction.
- Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
